Sample License Agreement

1. Grant of License

Upon purchasing a sample or sample pack on Sound To Sounds ("Platform"), you ("Purchaser") are granted a non-exclusive, worldwide, royalty-free license to use the purchased audio files ("Samples") in your original musical compositions, productions, and projects, subject to the terms set out below.

2. Permitted Uses

You may:

• ✓ Use the Samples in an unlimited number of original compositions.
• ✓ Monetize your compositions commercially (albums, singles, sync, advertising, film).
• ✓ Distribute your compositions on streaming platforms (Spotify, Apple Music, YouTube, TikTok, etc.).
• ✓ Use the Samples in client work and commercial projects.
• ✓ Pitch-shift, time-stretch, layer, chop, or otherwise modify the Samples.

No royalty payments are required for any of the above uses.

3. Prohibited Uses

You may not:

• ✗ Resell, redistribute, or sublicense the Samples as standalone audio files.
• ✗ Upload the Samples to any other sample marketplace, library, or distribution service.
• ✗ Include the Samples in a competing sample pack, loop kit, or sound library.
• ✗ Share, transfer, or give the source audio files to any third party.
• ✗ Use the Samples to train, fine-tune, or build AI or machine learning models or datasets without prior written consent from the Platform.
• ✗ Claim ownership of the original unmodified Samples.

4. Ownership

All Samples remain the intellectual property of the original creator ("Creator"). This license grants you the right to use the Samples as described above, but does not transfer ownership of the underlying audio content. The Platform acts solely as a marketplace and is not the owner of the Samples.

5. Creator Warranty

Each Creator on the Platform warrants that they hold all necessary rights to the Samples they upload and that the Samples do not infringe any third-party intellectual property rights. In the event of a copyright dispute, the Creator — not the Platform — is solely responsible for resolving such claims and for any resulting damages.

6. Limitation of Platform Liability

The Platform provides Samples "as is" and makes no warranties regarding fitness for a particular purpose. The Platform is not liable for any copyright claims arising from Creator-uploaded content, any loss of income or commercial opportunity, or any indirect, incidental, or consequential damages resulting from use of the Samples.

7. Termination

This license is automatically terminated if you breach any of its terms. Upon termination, you must cease all use of the Samples and delete all copies. Compositions already released and distributed prior to termination are not affected.

8. Governing Law

This Agreement is governed by the laws of the European Union and the Republic of Latvia. Any disputes shall be resolved in the courts of Latvia.
